Non-Disclosure Agreement (NDA)
Non-Disclosure Agreement (NDA)
A legally binding agreement between two or more parties to treat information disclosed between them confidential.
NDAs are used to protect confidential information when it is necessary to share that information with a third party. For example, an NDA may be used when disclosing details of an invention to a third party to prevent that disclosure of the invention to the third party from being considered a public disclosure of the invention (which would otherwise adversely impact the novelty of any patent application that is subsequently filed).
An explicit NDA is not required in situations where a party is already under a duty to keep information confidential, such as when a client discloses an invention to their patent attorney who has a professional obligation to keep such information confidential.
